Announcement on the Merger of Vinaconex – Viettel Finance Joint Stock Company into Saigon – Hanoi Bank

  • Pursuant to Circular No. 36/2015/TT-NHNN dated December 31, 2015 of the State Bank of Vietnam stipulating the restructuring of credit institutions;
  • Pursuant to the Merger Agreement between Saigon – Hanoi Bank and Vinaconex – Viettel Finance Joint Stock Company dated December 17, 2015;
  • Pursuant to Decision No. 2400/QD-NHNN dated December 12, 2016 of the State Bank of Vietnam on the merger of Vinaconex – Viettel Finance Joint Stock Company into Saigon – Hanoi Bank;

Saigon – Hanoi Bank (SHB), having its registered office at No. 77 Tran Hung Dao Street, Tran Hung Dao Ward, Hoan Kiem District, Hanoi hereby announces the merger of Vinaconex – Viettel Finance Joint Stock Company into SHB as follows:

  1. Number and date of the approval decision by SBV on the merger of Vinaconex – Viettel Finance Joint Stock Company into SHB: Decision No. 2400/QD-NHNN dated December 12, 2016 of the State Bank of Vietnam on the merger of Vinaconex – Viettel Finance Joint Stock Company into Saigon – Hanoi Bank.
  2. Number and date of SHB’s Certificate of Establishment after the merger: Commercial Joint Stock Bank License No. 0041-NH/GP dated November 13, 1993 and Licenses Amendment;
  3. SHB’s head-office after the merger: No. 77 Tran Hung Dao Street, Tran Hung Dao Ward, Hoan Kiem District, Hanoi.
  4. SHB’s charter capital after the merger: VND11,196,891,000,000 (In words: Eleven thousand one hundred ninety six billion eight hundred ninety one million dong).
  5. SHB’s legal representative after the merger: Nguyen Van Le – Title: Chief Executive Officer.
  6. Form of SHB after the merger: Commercial Joint Stock Bank.
  7. List of founding shareholders, major shareholders, strategic shareholders, contributing members, owners of the financial institution and corresponding contributing ratios after the merger:
