On 15 October 2026, Krungsri, one of Thailand’s leading financial groups and a member of Japan’s MUFG Financial Group, completed payment in full to Saigon – Hanoi Commercial Joint Stock Bank (SHB) for the transfer of its shares in SHBFinance (now renamed Sfinance). The completion of the transaction marks a successful milestone in the strategic partnership between SHB and Krungsri and is of significant importance to SHB’s shareholders and investors. The capital surplus generated from the transaction will further strengthen the Bank’s financial capacity and capital base, create additional headroom for business expansion, accelerate its comprehensive transformation, and enhance its competitiveness in the next phase of development.

Continuously strengthening financial capacity and building a solid foundation
The transfer of 100% of SHBFinance’s charter capital has generated a substantial capital surplus for SHB’s shareholders while strengthening the Bank’s financial capacity and market position. Following completion of the transaction, SHB will continue to cooperate with Krungsri to develop retail banking business based on modern technology platforms, convenient products, and advanced services. In particular, SHB will focus its resources on core business areas, further accelerate its transformation and digitalization, unlock new growth opportunities, and pursue its ambition to expand its international reach.
In recent years, SHB has continuously strengthened its financial foundation through the successful issuance of more than 750 million shares to existing shareholders, funds, professional investors, and employees under its Employee Stock Ownership Plan (ESOP). These issuances have increased the Bank’s charter capital to VND 53,442 billion, positioning it to rank among the four largest private joint-stock commercial banks in Vietnam by charter capital.
SHB’s 2026 Annual General Meeting of Shareholders approved a total dividend payout ratio of 16% for 2025, comprising 10% in shares and 6% in cash. SHB expects to pay the cash dividend in November 2026 and implement the stock dividend in 2026, subject to completion of the required regulatory procedures, thereby safeguarding shareholders’ interests. Upon obtaining regulatory approval, SHB’s charter capital is expected to increase to VND 58,786 billion, further strengthening its financial foundation and resources to support its long-term development strategy.
With more than 200,000 shareholders, SHB is one of the banks with a broad public shareholder base in Vietnam’s stock market. SHB shares are included in the VN30 Index, which comprises large-capitalization, highly liquid stocks, reflecting the Bank’s position among leading listed companies.
Regarding business performance, SHB’s estimated profit before tax for the first nine months of 2026 reached VND 14.3 trillion, up approximately 17% year-on-year and equivalent to around 81% of its full-year 2026 profit target. Return on equity (ROE) stood at approximately 25.9%, while the cost-to-income ratio (CIR) was around 19.2%.
As of September 30, 2026, the Bank’s total assets were estimated at VND 990 trillion, approaching the VND 1 quadrillion milestone. Its own capital stood at approximately VND 102 trillion. The non-performing loan (NPL) ratio remained firmly controlled below 2%, while the Bank continued to maintain its prudential ratios above regulatory thresholds.
Building on its performance in the first nine months of the year, SHB continues to pursue its growth strategy underpinned by modern governance and technology, with a focus on improving asset quality, execution discipline, operational efficiency, capital strength, and customer service capabilities. The Bank continues to expand its customer ecosystem and strengthen its partnerships with economic groups, general corporations, strategic enterprises in both the state-owned and private sectors, cultural and social organizations, hospitals, schools, and supply chains and value chains. At the same time, SHB is developing tailored solutions for small and medium-sized enterprises (SMEs) and individual customers.

Diversifying international funding sources and expanding growth opportunities
Alongside strengthening its internal resources, SHB continues to expand its relationships with international financial institutions, diversify its funding channels, and enhance access to capital to support its long-term development objectives.
On October 12, SHB’s Board of Directors approved a USD 340 million syndicated loan facility involving Sumitomo Mitsui Banking Corporation (SMBC), Singapore Branch, as well as other international financial institutions, including State Bank of India, Hong Kong Branch, CTBC Bank, Maybank Securities, Abu Dhabi Commercial Bank, and MUFG Bank.
The facility is expected to support SHB’s lending activities, including the financing of eligible projects that meet environmental, social, and governance (ESG) criteria, as well as other projects as agreed by the relevant parties. Its implementation will help broaden the Bank’s access to international funding, diversify its funding structure, and enhance its capacity to meet customers’ financing needs.
Also on October 12, SHB received in-principle approval from the Singapore Exchange for the proposed listing of bonds offered to international investors, with expected tenors of three and five years. This marks a milestone as SHB becomes the first bank in Vietnam to issue Singapore dollar (SGD)-denominated bonds and list them on the Singapore market.
SHB has earned recognition from reputable international financial institutions and rating agencies. Most recently, S&P Global Ratings assigned an “AA” rating to SHB’s long-term debt issuance for bonds guaranteed by an Asian Development Bank (ADB) trust fund. This investment-grade rating enhances the Bank’s access to international investors and marks another step forward in SHB’s strategy to diversify its funding sources and strengthen its position in regional financial markets.
In 2025, SHB successfully raised two medium-term USD syndicated loans aligned with ESG criteria, totaling USD 600 million and attracting participation from 26 international financial institutions. These transactions helped expand the Bank’s network of financial partners, diversify its funding sources, and strengthen its connections with international markets.
From completing the SHBFinance divestment and implementing capital-raising initiatives to proactively expanding its international funding channels, these strategic moves not only strengthen SHB’s financial capacity but also reflect the confidence that partners and investors place in the Bank’s governance framework and long-term growth prospects.
By 2030, SHB aims to become the No. 1 bank in operational efficiency, a favorite digital bank, and the best retail bank in Vietnam. The Bank also aspires to be among the leading providers of financing, financial products, and services to strategic corporate customers across ecosystems, supply chains, value chains, and green development initiatives, as well as to SMEs and individual customers. Looking ahead to 2035, SHB strives to become a leading modern, digital, and green bank in the region.
To realize these goals, SHB is implementing a comprehensive transformation strategy built on four strategic pillars: Customer- and market-centricity; Reform of mechanisms, policies, regulations, and processes; People as the driving force; and IT modernization and digital transformation. Guiding this transformation are SHB’s six core values: Heart – Faith – Trustworthiness – Knowledge – Wisdom – Greater heights.
With 33 years of growth, a solid financial foundation, and a comprehensive transformation underway, SHB reaffirms its readiness to accompany the nation into a new era—pursuing breakthrough growth and realizing its vision of becoming a leading financial institution in the region with an increasingly prominent international presence.
